General Terms and Conditions
With the use of the offer contained in the following exposé, e.g. by entering into negotiations, inspection etc. between the offer recipient (broker customer) and Domizil d.o.o. a brokerage contract for the offered object is concluded, which includes these General Terms and Conditions, which are hereby recognized by the brokerage customer.
2. Confidentiality/Prohibition on Disclosure
Domizil d.o.o. Offers and information sent, in particular exposés and their content, are confidential and intended only for the respective recipient. Disclosure to third parties is prohibited without the express consent of Domizil d.o.o., which must be given in writing beforehand. If the broker customer violates this obligation and the third party or another person to whom the third party has passed on the information concludes the main contract, which would be subject to commission in accordance with these conditions, the broker customer undertakes to accept this payment in the amount of the commission on the basis of these conditions as compensation. The broker customer reserves the right to prove that a lower damage or no damage was incurred. A further claim for damages by Domizil d.o.o. due to unauthorized disclosure of information remains unaffected.
3. Creation of the Commission Claim
The disclosure (= proof) of the property address and/or the provider is made with explicit reference to the commission claim in the event of purchase. Our claim to commission arises as soon as a main contract regarding the object named by us has been concluded on the basis of our proof and/or our mediation. In this case, co-causality of our brokerage activities is sufficient. If the main contract is concluded on terms other than those originally offered, or if it comes about for another object of the contractual partner proven by us, this does not affect our claim to commission, as long as the transaction that has come about is economically identical to the transaction we offered or in its economic success differs only significantly from the business offered.
4. Maturity of the Commission Claim
The commission claim is due upon conclusion of the purchase contract. The commission is payable after the invoice has been issued. Domicile d.o.o. has the right to be present at the conclusion of the main contract. If the main contract is concluded without the participation of Domizil d.o.o., the customer is obliged to notify Domizil d.o.o. to provide information immediately about the essential content of the main contract and the assessment basis of the commission claim.
5. Amount of Commission
The commission is calculated from the total purchase price. Unless otherwise agreed, the buyer’s commission is 3.75% of the economic purchase price incl. 25% Croatian VAT
6. Dual Action
Domicile d.o.o. is entitled to work for the other party (seller) for a fee or free of charge. We are committed to impartiality in the case of dual activity.
7. Prior Knowledge
Is the customer informed by Domizil d.o.o. If the object offered is already known, he must notify this immediately, at the latest within 3 calendar days, and at the request of Domizil d.o.o. to prove. If the customer fails to do so, he has Domizil d.o.o. all expenses incurred by Domizil d.o.o. arising from the fact that prior knowledge is not pointed out or is pointed out too late, as compensation for damage.
8. Limitation of Liability
Liability for negligent conduct by Domizil d.o.o., its legal representative or vicarious agent is excluded. This does not apply if the damage consists of injury to life, limb or health or the violation of an essential contractual obligation (cardinal obligation) or the absence of one of Domizil d.o.o. guaranteed specific properties.
9. Place of Jurisdiction
Place of performance and place of jurisdiction for registered traders is the registered office of Domizil d.o.o.
10. Severability Clause
Should one or more of the above provisions be invalid, the validity of the remaining provisions shall not be affected. This also applies if part of a regulation is ineffective, but another part is effective. The invalid provision should be replaced between the parties by a provision that comes closest to the economic interests of the contracting parties and does not otherwise run counter to the contractual agreements.
